The Client may request unlimited rounds of revisions until satisfied. Each revision round is included in the fixed fee.

A logo retype that drifts into a fifth round isn’t billable, but it’s still your day. Bound revisions, then bill the rest.

What bites a freelance designer

IP transfer on final payment

“Sole property of the Client upon final payment” — your files ship before the wire clears. Bound usage rights instead, with a portfolio carve-out.

Unlimited revisions

“Reasonable and unlimited revisions until satisfied” turns a fixed fee into an open-ended engagement. Cap revisions at two rounds, then bill.

Net-90 payment terms

Three months of float on a $6,000 package is your day rate funding their cash flow. Net-15 on final, 50% on signing.

Blanket non-compete

A “shall not engage in any business that competes” clause took you out of an entire vertical for a year after one engagement. Replace with a named-customer non-solicit.

Auto-renewal on retainer

A month-to-month design retainer that auto-renews into a paid year you didn’t ask for. Renewal requires mutual written agreement.

No liability cap

Without a cap, a single missed deliverable runs many times the contract value. Cap liability at fees paid in the prior twelve months.

Ownership & portfolio

All deliverables, including source files and working files, become the sole property of the Client upon final payment.

On a $3,000 engagement this reads fine. On the package that gets shipped, signed, and screenshotted — it shouldn’t move without payment in hand.

Rewrite

Upon receipt of final payment, the Client receives a full assignment of usage rights to the deliverables. Until final payment, the Contractor retains ownership and grants the Client a limited preview license. Contractor retains the right to display the work in their portfolio and on social channels unless the Client requests a private engagement under §7.
